With the social and economic development to increase water demand, water resources in the world has become a scarce resource, which need to be optimized allocated to achieve economic, social and ecological sustainable development. China has been mainly allocated water resources through administrative means for long. Most of the water is free or low compensated, resulting in a severe water shortage on the one hand, the grim situation of wanton waste of water resources on the other hand. Water resources has become an important factor in constraint of sustainable society and economic development. With the shortage of water resources and increasing pollution and the development of socialist market economy, protection and rational utilization of water resources has attracted attention, the consensus of a standardized system of water rights trading has gradually established. Water rights trading is the ultimate way through the market in the country's macro-control, make the role of market mechanisms in allocating water resources important, thereby enhancing the efficiency of water utilization. But only the market allocation of water resources will cause lots of problems, requiring the necessary government regulation to "market failure". However, for the field of water resources mainly with the executive-led tradition in our country, in order to ensure smooth trading of water rights, government regulation necessary must be in a certain range on the current. In other words, the scope, functions and position of government regulation in water rights market is a problem worthy of further investigation.This paper is mainly on the modern system of water rights and water rights trading system, about a brief introduction of water trading in China through the actual situation, reveals problems of our water rights trading, clarify the government management functions in the process, and improve the water rights legal system.First of all, through the concept of water rights, characteristics, nature of the review, the meaning of water trading system, basic principles and a description of water right transfer contract system, clarify water rights and water rights legal system's basic theory, and build the basic framework of water rights trading.Secondly, from the analysis of our water rights trading case, analyse market failure of water rights trading , formalize our water rights trading problems.Finally, puts forward an effective, measured approach and scope of government regulation, conclude position of government in the water right market. Government in water rights trading should be more frequent as a guide, coordinator, supervisor, manager and protector of public interest, rather than a direct operators.
