When our modern society is stepping into the era of knowledge-based economy, the industrial structure is continuously being restructured and upgraded. The high-tech enterprise, as the backbone of the knowledge-based economy, which promotes economic development and social progress, is replacing the status of the conventional industry as the predominance in economy. High-tech enterprises are knowledge and technology-intensive enterprises, which drastically attache importance to effects of human capital. Consequently, the development of high-tech enterprises has to rely on making full use of human capital. Currently, the high-tech enterprises in our country are confronting the problems such as outflow of talents, short life cycle, etc. So, the issue how to inspire as well as restrict the human capital effectively has become the inescapable problem on high-tech enterprises'way to develop. In this background, the thesis, based on human capital ownership, is dedicating to the research of incentive scheme of high-tech enterprises.This thesis, on the basis of examining Entrusting and Agenting Theory, Human Capital and Human Capital Ownership Theory, and Incentive Theory, using the existing research achievements as references, grounding on the features of high-tech enterprises and characteristics of human capital and ownership in high-tech enterprises, begins the research of share incentive scheme in high-tech enterprises. Firstly, the mechanism of share incentive in high-tech is analyzed. Secondly, the general design of share incentive scheme in high-tech enterprise is analyzed, including the goals, principals, elements and the chosen patterns of share incentive scheme. In combination with typical case analysis, the merits and demerits of share incentive scheme are anatomized. Eventually, with respect to the potential problems, some suggestions are proposed. This research is worthwhile both theoretically and practically, which, on one hand, enriches Human Capital Theory and Share Incentive Theory, on the other hand, renders theoretical guidance to high-tech enterprises in establishing effective inspiring and restricting scheme, which helps to achieve the human capital ownership and promote the effectiveness of human capital share prompting in high-tech enterprises, which is also beneficial to the advancement of enterprisemanagement structure and regime, increasing management efficiency,promoting enterprise competitive capability as well as healthy andsustainable development.
