In the knowledge-based economy ages, it's of great importance to countries all over the world to participate in the international competition in a more cost-effective manner and to promote the national overall national strength by developing the new high-tech industry. The paper which takes the development law of industrial structures as a starting point, promotes that the competition for the person of talent are the key competition. For the enterprises, especially the ones in the high-tech industry, how to attract the knowledge-based staff are always the crux for existence. On this background, the paper discusses the problem of human capital incentive in the high-tech industry.At first, we analysis the human capital floating status in the high-tech industry, and conclude that the imperfect of incentive mechanism establishment is the main cause for the knowledge-based staff floating. The research is start with analysis of basic theory, expounds the conception and characteristic about the high-tech industry, and analysis the human capital and incentive theories. And then we establish the principal-agent model as the basic theoretic structure, because one of the most vital characteristics in contemporary enterprises is that the proprietary rights and domination rights are departed, in which the principal-agency relationships are formed between the owners and the managers, and the managers and the staff. Because of the asymmetric information and incomplete contract, the adverse selection and moral hazard caused by the agents that invade the principals' rights and interests emerge easily. Based on the principal-agent model and through the analysis for the characteristics of human capital and human capital property rights, we merged some related theories from Games, and expound the importance and necessity for the high-tech enterprises to set up the feasible incentive mechanism. At last, by integrating and drawing some theories from the management, we propose some workable incentive measures to improve the high-tech enterprises' healthy development.
