In recent years, cases of mergers and acquisitions have occurred, but in many of the case of mergers and acquisitions,company has not gotten the rapid development, not only that, a bad M&A decision-making leading the companies in trouble are not uncommon. This not only damages the interests of shareholders and creditors, and blocks the development of China's marketting economy objectively. Currently, too many practitioners and academics are focusing on the results of the ex-post evaluation of M&A, while ignoring the M&A process which professional managers make the decision. This phenomenon is largely due to the lack of a quantifiable way to assess the professional managers in decision-making process.This article which based on the erro eliminating theory, research firms mergers and acquisitions.It contains analysis of M&A at home and abroad by the systems theory, risk management theory and decision theory, erro eliminating theory, and decision analysis. In concluding the existing research results, the article analysis the process of M&A decision-making.This article contains four parts, Part I: it details the significance , research routes and methods of this paper, describes the status of M&A in China and problems in the M&A decision-making.An overview of domestic and international writes the development of decision theory and the background of erro eliminating theory's devolopment. Part II: Risk factor analysis of M&A, and explains erro eliminating theory. Part III: Introduction of the basic principles of erro eliminating theory. Part IV: identification of case studies, the establishment of M&A erro eliminating theory model, eliminate erros in the M&A case, and presented with a new perspective of M&A decision making.
