The effective incentive mechanism to enterprise operators is always a key problem not only in establishing modern enterprise system, improving legal person administration but also in the human resource exploration and application. This is determined by the special status of operators and the role they play in modern enterprises. Compared with incentive mechanism to common staff, incentive system to enterprise operators has much more content, more kinds of forms and it is more complicated. In recent years, incentive system to enterprise operators also becomes the focus of management research. And the tentative methods such as Annual Salary System, Stock Equity Incentive System and Stock Options Incentive System emerge in endlessly in Chinese enterprises.Taking Changchun Economic &Technical Development Zone, Development and Construction (Group) Co..ltd. as an example, this thesis studies the functioning of the current enterprise incentive system to top managers and the part it plays during the beginning stage and development process of a corporation. Furthermore, the paper studies the existing problems of the operator incentive system when enterprises are facing new developing situations and requirements. There are mainly three kinds of problems in the existent salary system. Firstly, the effect of short-run incentive is weak. Secondly, there is no long-run incentive. Thirdly, it lacks of effective constraints. In the frame of the current laws, an incentive program to top managers is designed in this paper, after profound research and study of the incentive mechanism theory both in and out of China and the successful experience by applying these methods, and after considering the situation of China and the real conditions of Changchun Economic &Technical Development Zone, Development and Construction (Group) Co..ltd.. The author hopes that this paper can help to improve the incentive and constraints mechanism of this corporation, to promote the development and construction of the incentive mechanism, to inspire the top manager to make scientific decisions, and to accelerate the carrying out of the developing strategy.
