This paper employs the combinational method of theoretical analysis and demonstrates a research. On the basis of deviant theory, it compared three typical international modes of corporate governance, namely, the US - Britain mode, the German mode and the Japanese mode, hoping to provide valuable experiences for improving corporate governance of university-owned enterprises in our country.This essay summed up the causes and several developing phases of the university-owned enterprises in our country, pointing out the features of university-owned enterprises which are distinct from others: First, university has the absolute or relevant status of holding control of the enterprises in the assets relationship, and university brings the enterprises under the executive control; Second, the administrators of the enterprises mainly come from the staff of university. Third, the researching and exploiting activates of enterprises chiefly depend of university through scientific research contracts, combined exploiting and so on, by using the resources of university with compensation. It analyzed prospect of four types of university-owned enterprises, putting forward that as an incubator of transformation of scientific results on university, university-owned enterprises should attach more importance to science-dominated enterprise, gradually pull out from non-science dominated enterprise and service-providing enterprise, reform the science-dominated enterprise and fulfill the construction of modern enterprise institutions step by step. It also outlined the current situation of university-owned enterprises and demonstrated imperfection which existed in the corporate governance of most university-owned enterprises.
