For a long time, the absence of ownership of Chinese state-owned enterprises, coupled with the misalignment of the values and objective of the owner and those of the management, has been causing the increase of real transaction cost of the agency contract It' s a topic receiving vast attention about how to establish and improve a powerful motivating and constraining mechanism as to mobilize the management and foster their Pro-activity and creativity, and to tap the potential of human capital.As an arrangement of human capital property right, MBO is just coincided with the establishment of modern enterprise system of property rights in China's current goal, so it was generally welcomed by entrepreneurs while introduced Theoretically, MBO can effectively reduce the cost of agent, mobility management initiative, enhance business management efficiency and improve enterprise performance However, because of the complexity and the diversity of the MBO, not all MBO that were practiced in enterprises will be successful Especially, MBO is confined by various factors during the transferring process of the Chinese economy system reform So, compared with the MBO outside China, the MBO of our country has its characters in many aspects Therefore, the study on the effect of the MBO in our country should be done, which will benefit to the analysis of our human capital in equity incentive problems and have strong practical significanceThe text bases MBO as analytical and logical starting point to do stimulate research and empirical studies on MBO as a human capital management system, in this basis, summing up our human capital equity incentive deficiencies factors in our country and putting forward relevant responses Through the analysis, the following conclusions are drawn here:(1) the effect of the MBO should be achieved through the effect of the four mechanisms, the incentive of equity ownership and debt, the effect of supervision and tax Compared to other human capital equity incentive programmers, it has advantages in benefiting the direct nature, the development of natural disposition and incentive for the long-term effect;(2) the main reason that the effect of the MBO in the practice of enterprises can not be effectively supported with the effective data, is the effect of the four mechanisms not being activated;(3) in the human capital of our equity incentive, exist the four errors, sexual...
