Along with the knowledge economy time arrival, the human capital already becomes one kind of important elements of production with special significance. The human capital participates in the production process together with the material capital. As a result, the human capital should participate in the income distribution together with the material capital. But people often neglect the value that the human capital creates in daily work. The human capital has not been able to bring into income distribution of the enterprise. That has initiated a series of economic questions. The basic way to solve these questions is to let the human capital participate in income distribution of enterprise reasonably and reflect the value of human capital really. Guarantying the human capitals' reasonable income to carry on the effective drive to the human capital is intrinsic request on consummating income distribution system of our country.This article divides into five chapters altogether. The first chapter obtains from the theory, mainly introduces the definition and the characteristic of human capital, the human capital property right and the characteristic, and has carried on the simple classification in this foundation to the human capital, management human capital, technical innovation human capital, production service human capital.The second chapter analyzes theory basis and the reality basis of the human capital participating in income distribution, and discusses the inevitability and the feasibility of human capital participating in income distribution of enterprise.The third chapter introduces main income distribution patterns and human capital measurement patterns in foreign country, especially analyzes the yearly salary system, ESOP, ESO and MBO. At the same time, the article points out the advantage of overseas patterns, which can learn by china's enterprise.The fourth chapter introduces the development and practice of human capital participating in income distribution in our country.
