In this thesis, the question about how to establish effective incentive and restriction system is studied. The research object is Zhongshi Yitong Group, a new entity mainly developing high-tech industries. Through theoretical analysis and case study, the manager yearly salary system for enterprise group is promoted and successfully carried out in practice. Based on theories of incentive for managers and reward incentive theory, the basic structure for the salary system designing is put forward. By using ISM and SWOT analysis method, the current development status of Zhongshi Yitong Group is analyzed And based on above analysis and study, the scheme of yearly salary system for executives of Zhongshi Yitong Group subsidiaries is presented, which is on the basis of two sets of assessment criteria. In addition, considerations about perfecting the yearly salary system through introducing manager ownership, controlling occupational consumption, strengthening the construction of manager market are put forward.
