One of the key strategic tasks of our country's economical development is to develop a group of big companies and conglomerates. In order to enhance conglomerate's competition, it's necessary to develop organizational capability. That is to say, organizational change should be made to help distribute enterprise's resources effectively to create competitive advantage under the dynamic competition environment. Network economy leads to macro-environment and micro-environment change deeply. Therefore, the true dynamic of group company's organization change is the specific product feature , technology feature and market feature of network economy .Based on former scholars' study ,the paper discusses about organizational target model, structural change path ,change efficiency fact of the group company through literature method comparison method ,and case research method as well.In consideration of the unbalance and variety of our county's group companies, organizational model should be selected according to objective environment. Meanwhile,it also should being changed following the change of the environment contigently. Network economy influenced group company's strategy, and then influenced organizational strcucture model. Based on network theory, the model structure of conglomerate should be network structure. Following this, the function position of the group company turns to good teacher and friend model.In order to construct group company's network structure, there needs research on organizational change path. Based on modular theory ,that can be achieved by combining modular decomposition with modular integration .So, the complicated structure of group company can be divided into three modularities, such as function modularity, product modularity and market modularity . Based on modular decomposing, modular integration can bring into effect vertically and horizontally, that is to say, by coupling the modular chain with modular leverage, the group company's organizational structure can be changed by means of the front, the latter, the middle, the bilateral ,and network leverage as well. At last, the choice matrixes of the five organizational change ways above can be determined by coupling the modular level with parent company's control strength.There can realize the optimum cooperation in conglomerate by means of changing organizational efficiency fact that modular design demands. Therefore, group company should be a strategy-focused organization that can realize synergy effect to deal with organizational efficiency problems. A strategy-focused organization means group companies are not only the center of the conglomerate but also the center of the alliance networks. Both constructing share service units and designing business units can lead to organizational synergy. So, establishing property management organs , business management organs and service organs is necessary to realize organizational synergy.
