The Research On Corporation Governance Structure About State-owned Enterprises

In the break-through period of reformation to establish modern business enterprise system, the problem of corporation governance structure about state-owned enterprises is becoming an important lesson in the theories field and actual work. Among them there are two problems to seem to be particularly important, urgent and have the realistic meaning. The first problem is to know to increase efficiency of organization's movement, for example, Shareholder Meetings, directorate, Supervisory Board and managers; the second is how to increase the whole efficiency of corporation governance structure. It is the purpose to research them and get some conclusion.The paper first brings forward a phenomenon of convergence, which is refers to that the corporation governance patterns move toward convergence, and make sure that neither the Britain-America pattern nor the German-Japan pattern is suitable for China. Then the presence, the exhibition and the future expectation are all discussed. Secondly, the core part of the paper is based on the system theory, from the view of complexity system theory, and to combine the game theory and economics of information, use basic theory of management and economics to analyse, discuss and abstract the characters of governance structure of different system. According to the situation of China present economy running and state-owned enterprise strypped-down, the paper tried to give a system optimization precept for corporation governance structure pertinently, including consummating the supervisory restriction mechanism, choosing the very running pattern, constructing the rational and effective inside mechanism and outside mechanism. At the end of the paper, a case is discussed quickly as a demonstration analysis.It is hoped that the paper can be beneficial to improve corporation governance structure, and increase the movement efficiency of corporation power organization and the whole efficiency of corporation governance structure.
