This chapter reviews and summarizes experience and deficiency of the reform of Chinese enterprise at first, and think it is successful in encourage to the entrepreneur in a short time to the reform for many years of China, but has not solved the problem of encourage for a long time yet, choosing the entrepreneur is unsuccessful. Secondly it points out that the equal market competition system is the foundation that every system of entrepreneur's growth can be implemented.Studying from system, this chapter thinks that the drawback of management of state-run assets is one of the important reasons which hinder entrepreneur's growth, such as indistinction between the functions of the government and those of enterprises, between policy and money, that lead to entrepreneur's behavior mode to twist; ownership restrain/s invalid cause controlling to entrepreneur inefficiency and state-run assets'running off, the consequence is entrepreneur's omission, and difficult to build up to an effective entrepreneur encourage restrain mechanism. So the management system of state-run assets should innovate and realize five transitions: change from in charge of enterprise to in charge of assets, change from material object form to the form of value, change from static management to the dynamic management, change from managing the group to appoint property right representative.
