Excitation is the eternal topic for enterprise's management ,as well as the eternal hard nut to crack. Since the economic reforms and open-door policies begain in the late 1972's, in order to improve the intiative of state-owned enterprise's managers and local governments, China keeps on finding an effection incentive and constraint mechanism, but does not have an ideal effect. So, finding and establishing an effective institution to coordinate the incentive and constraint mechanism becomes not only the essential issue of the modern firm theory but also an important and urgert task in the further reform of Chinese state-owned enterprises.The important contents of the enterprise management structure is the system arrangment of mechanism which the entrepreneur encourages, and which is the inevitable logic of the modern productivity development .Its principle foundation is mainly in the economics of entrust-act for the theories,the manpower capital theories and management theories.This text commences from the above three theories , elaborating on the theoretical evidence of the research system; on the necessity of perfecting the system from another aspect.On the basic of the theories study and the analytical comparison, the text tries to make use of the economics and the management academic theory , drawing lessons from the experience which owned by foreign enterprise's entrepreneur ,and followed by putting forword the policy suggestions on how to perfect the system.Combine the state-owned enterprise's entrepreneur of our country to encourage the present condition of mechanism currently, this text think: The first step is that we should strengthen the entrepreneur guerdon to encourage the mechanism, it is outstanding to encourage the reform innovation of the way ethod. Currently, still need to regard the salary system of the year as principle, take welfare subsidy, the incumbency consumption... etc. as to assist, strengthen the research and the summary of the stock option system at the same time; The second step is that the exertive spirit incentive to encourage the function, enhance with the good reputation incentive, the power incentive, works to encourage for lord of spirit incentive the usage of way;The last step is that we should adopt measure to perfect continuously inside and outside environment of the incentive mechanism.
