| With the rise of supply chain management in 1990s,it changes the traditional viewpoint that the suppliers only supply parts to the manufacturers. The thought of supply chain management emphasizes that the manufacturers by use of the advanced information technique, with the most outstanding up and down enterprise establish strategy cooperation patter, and entrust these enterprises to complete parts of business works. Then concentrated themselves energy and various resources, be absorbed in their business enterprise core operation that can create special value, is more professional than rival. The end target is to limit the cost by use of the thought of system, to acquire the larger profits and carry out "the double win" in the meantime.The technology spillovers have advantages and negative effect to inter-firm R&D cooperation of supply chain. One hand, because of the existence of the technology spillovers, the enterprise which is spilled income can reduce creative cost, raise technique level, provide the creative product of more low prices with excellent qualities for the market, increase the welfare of the whole social wealth and all social member and have better social income. On the other hand, the technology spillovers can't make the creative business enterprise get all creative incomes and the margin income descends. When the creative income of the business enterprise is smaller than the creative cost, it will lose creative motive and no longer creative. But the motive of other enterprises that acquire the spilled income by free will be strengthened. That will reduce the business enterprise creative aggressive and lower the whole social welfare.This paper has six chapters. Chapter 1 is introduction, it completely overview the domestic and international scholar the result of the R&D cooperation and the technology spillovers. By studying on this result, pointed out the existent shortage in these researches and put forward this text research of problem, give the frame of paper.Chapters 2 introduce and analyze related concept and theories, mainly have R&D cooperation, technology spillovers and coordinate mechanism.Chapter 3 analyzes the influence of the technology spillovers to the inter-firm R&D cooperation of supply chain and the possibility risk it may be bring on. By compare with R&D cooperate and R&D incorporates, clarify the up and down enterprise R&D cooperation not only can make the profits of supply chain system optimization, but also achieve the double win.
