A Study On Corporate Governance Mechanism Based On Complex Adaptive System Theory

The modern corporate governance theory believe that, the corporate governance mechanism is a set of system arrangement that the company use to deal with the relationship between various interest correlations and to form the company effective system and the economic target. The good corporate governance mechanism can guarantee that the managers utilize the company asset according to the owner and the interest correlations'interest, and realize the company value and corporate goal. However, the majority of the domestic and foreign study about corporate governance mechanism are based on the company certain realistic questions. And on the analysis method, they are also by the economic, the legal science method primarily. They lack the study about corporate governance mechanism from the multi- angles discussion. The system theory tells us the company is an organic system, and it is extremely essential to study the company and its movement from the point of system angle. Therefore, this article proposed the utilization of system theory method to research corporate governance mechanism based on the complex adaptive system theory.This article holds that the corporate governance mechanism contains exterior governance environment and internal governance mechanism, and it is a complex dynamic system which targets on all the company's interest correlatives. It is already no longer the original kind of linear and simple system, but is an open, adaptive and non-linear complex system.Based on the complex adaptive corporate governance mechanism theory, this article sets up the complex adaptive corporate governance mechanism system from the point of view that corporate interior governance relates with the exterior social economy movement mechanism. And also, this article has produced the suggestions according to Hebei Province's state-owned enterprise company's corporate governance mechanism.
