The research of corporate governance first appeared in USA and UK, originated from the Principal-agency that was led from separation of ownership and management in modern corporations. It is a kind of institution arrangement that coordinates the right and responsibility of shareholders and other persons who have the same interests (such as creditor, supply merchant, employee, government and community) under a certain property right institution. And it is designed mainly to solve the problem of trusting agent and the lack of contract.At present, commercial banks that are the backbone of China' s financial system have many problems, such as high mal-property, the poor ability of profit, the lack of owner and encouraging institution , proprietors' a vacant position and so on. All these problems not only directly affect the operational efficiency and market competition of the commercial banks, but also affects configuration efficiency of asset in financial system, financial safety and the potentiality of economy development in microscopic. With the finance' s internationalizing and marketalization in our country, many domestic scholars realize that the steady and effective banking system is closely connected to the corporate governance of banks. Because of this background, I hope this paper can establish the Evaluation of corporate governance of commercial bank that tally with the actual condition of our country, and make contribution to the reform and practice of commercial banks by using the successful experience of international corporate and the theory research achievement of home and abroad. Thinking of the structure of this paper, I first introduce the c oncerning theory of domestic and international corporate governance and commercial bank corporate governance, focus attention on the con trast of the main international corporate governance mode, analyze t he particularity of commercial banks international banks' corporate governance. and then analyzing the principles and evaluation of dome stic and foreign corporate Governance. Then I structure the evaluati on system of corporate Governance of commercial banks. On this found ation ,I analyzing Bank Corporate Governance Index (BCGI) of CBC, BOC, ICBC, BC, CMBC, CMSB, HXB.
