Presently, the economical globalization,technical revolution and the industrial revolution tide proceeds turbulently. On this condition, the scale and influence of multinational M&AS is more and more great. Certainly, it is inevitable to meet numerous resistances, especially the resistances which result from the cultural difference and conflict. In multinational M&AS, the process of enterprises' internationalization is actually the process of Trans-Cultural changes and communicates. When different culture meeting together, collides and conflicts can possibly be produced, and then it causes the failure of Trans-Culture management.The fact proved that, the failures of much multinational management are the result of neglecting cultural difference and conflict. Therefore, multinational M&AS is to union the property and culture, but not simply fund and technology. Multinational M&AS will success or not is decided by the processing of culture difference and conflict in a great extent, in the process of advantage complementary to tangible asset. Just under this background, the thesis researches the problem of cultural conflict in the process of multinational M&A.The researching aim of this thesis is to provide a cultural conflict appraisal tool for multinational M&AS, on the basis of referring existing domestic and foreign research results. On the same time, the method of solving multinational M&AS' culture conflict smoothly is explored, so as to provide cultural conflict appraisal model and solution method for multinational M&AS. This thesis research the solution prospect of Trans-Culture conflict from two aspects of theory and operating, so as to provide theoretical instruction and basis to multinational M&AS.Therefore, the thesis embarks from the fundamental research, to understand multinational M&AS' connotation,practical significance,its present development situation in China, as well as existing culture conflict problem. And then the producing reason,formation and classification of Trans-Culture conflict are studied, as well as its effect to multinational management and M&A achievements. After this, according to this, it establishes an effective cultural conflict appraisal model, and analyzes the transformed relation between cultural difference and conflict, explains the importance of Trans-Culture management. Finally unifying the actual situation and the concrete case, the paper choose appropriate culture conflict solution, it can direct the decision and management after M&A.After multinational M&AS, cultural conflicts exist objectively. Enterprises which carry out multinational M&A should realize fully the importance of cultural conflict coordination in the process of M&A, and solve it by taking effective measure, so as to enhance multinational M&AS'success ratio, and promote the world economics to develop rapidly.
