As we all known that incentive mechanism is the driving source of modern enterprises' development, which impel stakeholders to participate in technological innovation and occupy market. However, in order to stimulate enterprises to innovate, from stakeholder theory of governance, it is necessary for a corporate to enable all stakeholders to actively participate in technological innovation. Only in this way can enterprises seize new markets and generate a new profit growth point in the fierce competition. The article uniquely establishes a new incentive mechanism of technology innovation from the inner and outer of company. The new mechanism involves shareholder, manager, employee, consumer, supplier, creditor and chairman of the board. In this paper, we firstly reviewed the existing literature on a study framework of technological innovation incentive mechanism which is based on stakeholders' governance theory. It considers that the existing literature about the effects of the structure of corporate governance on technology innovation at present, definite "stakeholder", analyze three paths to study the theory of stakeholder governance. Then, we explain the relationship of the theory of stakeholder governance and the incentive mechanism on technology innovation. There is the theory discussion about why and how do the theory of stakeholder corporate governance effect on technology innovation. Finally, from the perspective of the principles on which we must obey when incentive corporate technology innovation, we establish a new incentive mechanism of technology innovation. We use it to analyze a case, put forward to comprehensive incentive and an idea of a market-oriented pay system.
