On the principal～agent mechanism in the modern corporate governance,the corporate governance structure and corporate performance will inevitably exist.Through analysis and summary of the scholars of China's enterprises,especially the corporate governance of listed companies and the performance of the company's research and conclusions of the empirical analysis to find the relationship between the structure of corporate governance and corporate performance.Find out the existing problems and reasons of our corporate governance structure,give the ways of improve the corporate governance structure proposed by and means in order to improve the performance of the company.
