With the economic globalization, the diversification of customer needs and technical complexity,the enterprise have to find a new way to establish and maintain their own competitive advantage to win the competition in the market. With other companies to form strategic alliance is a shortcut to provide a key to access to external resources, to develop new market areas and to learn new skills and knowledge,which has been favored enterprises. In recent years, the global enterprise growth of strategic alliances is at an alarming rate, but strategic alliance is risks and opportunities for co-existence strategy, strategic alliances success rate was not high. Under such circumstances, studies the performance of strategic alliances and how to improve the performance of the strategic alliances is necessary.At first ,the paper summarizes the resources of interdependence of strategic alliance, the trust of strategic alliances, the knowledge transfer of strategic alliances and the performance of alliances , and found that very few scholars carry out comprehensive studies in three stages of strategic alliances, Then from the perspective of resource interdependence, this article study the impact of trust and knowledge transfer to strategic alliances performance, and put forward the six hypothesis and its Conceptual model. In order to confirm the existence of the impact, on the basis of previous studies, this paper construct indicators of various factors, form the initial questionnaire. During the process of the pre-test and small samples and large sample to investigate, I continuously improve the quality of questionnaire to ensure the next empirical research.In the aspect of data analyses, this paper use SPPS11.0 for the first exploratory factor analysis of small samples to the delete the sub-standard indicators and form a preliminary form factor. Based on the analysis, this paper optimized questionnaire and conducted a large sample survey and analysis. With the help of SPSS, the reliability test of various indications enhances reliability and validity of the questionnaire. Then it applied LISREL8.7 to conduct a confirmatory factor analysis of the fitting degrees of various-stair factors model, indicators of distinction and validity of degrees, conduct a detail validation and analysis. After that, this paper verified the total model structure and got a conclusion according to the results of the analysis .It prove that resources interdependence of strategic alliance has significant positive impact on trust. resources interdependence of strategic alliance has insignificant positive impact on knowledge transfer, trust of strategic alliance has significant positive impact on knowledge transfer, knowledge transfer of strategic alliance has significant positive impact on trust, trust of strategic alliance has significant positive impact on performance, knowledge transfer of Strategic alliance has significant positive impact on performance.Finally, this paper analyzes the results of empirical analysis, and then proposes some advices how to improve the performance of strategic alliance. At the same time, this paper brings forward research prospects in terms of the inadequacies of the study.
