Sub-debt crisis in the United States directly caused the financial crisis, which evolved into the economic crisis; the market value of many high-quality companies was significantly lower than their real value. Therefore, it's the best time to integrate industry through mergers and acquisitions ( M&A). However, results of our country's company M&A are unsatisfactory in recent years, there is no reason for the ineffective M&A integration, the cultural integration is one of the most prominent. In the process of M&A and after it, our country's company has always been avoiding cultural problem, when the cultural conflicts is incoming ,they often does not have good ideas to deal with it in time so that the whole M&A integration involved into cultural conflicts, eventually can not reach the target of M&A integration . In addition to a correct view of culture and cultural integration issues, how to identify and effectively resolve the cultural conflicts, how to make an appropriate program of cultural integration, how to make a scientific and rational cultural integration procedure ,which are the focus of this paper.At first, this paper unifies M&A theory and practice of motivation, thus, establishes a motivation M&A model of this paper, then, states the motivation decides whether a company implements M&A and its depth and breadth. Describes cultural organizations and the principle of integration in company M&A; bring up the cultural conflict game model based on trust, analysis the evolution of cultural conflicts and performance from the root causes of cultural conflicts, research the rules of organizations design and cultural integration, the contents of cultural integration, selection models of the cultural integration, then suggests the completed theoretical framework in cultural conflict and integration. Finally, take an example for Jinlong Copper Group mergered Taicang copper company, proposes the program of cultural integration and the general procedure in M&A. In short, cultural integration is a key to M&A integration. This paper provides systemic program based cultural conflict, which is useful to Chinese companies to achieve expected strategic M&A goal.
