21 century is an information economy and knowledge economy times. With intense trade competition, the human society has been running on fast track in economic sphere. The competition in the market also reflected in diverse, the competition is not only in technology and capital, the competition for talent has become the focus among modern enterprises. More and more enterprises realize the importance of human capital. Then the enterprises increase investment in development and application on human capital. An enterprise how to mobilize the enthusiasm of the staff and increase their effects depends on the incentive mechanism. Reasonable application of incentive mechanism can encourage the staff morale, improve the staff quality and enhance the organizational cohesion. We research the problem on incentive of consulting company is significance, to organize human resources management in knowledge-intensive enterprises.The article expounds the theory and principle of the excitation mechanism, SM Consulting Company of Gansu looks on as a case, adopting the investigation method for the company's motivation and the employee's demands, analyzing and summarizing the survey data. The author finds the Company's common and special problems. Quotes the effective motivation cases on corporations at home and abroad and combine the actual situation, putting forward the innovative approach on motivation for the staff in this company. The author made pointed references to improvement thoughts and methods and concrete measure. It can be used to HR management by knowledge-intensive private enterprises.
