The rapid development of science and technology made mankind entered the era of knowledge-driven gradually, the knowledge has been gradually substituting for the element of production of traditional-capital, labor and land has become the most main resources of enterprise. Knowledge-based enterprise is the main carrier of knowledge. For knowledge-based enterprises, knowledge levels ensure sustainable and healthy development of the foundation, which is a key core competence. Production process contains a large number of knowledge assets, most of which is a form of tacit knowledge, and organizations generally will not produce knowledge, knowledge is the staff in the application, transfer, sharing and innovation gradually accumulated, such as knowledge and corporate culture. Through knowledge sharing we can make the tacit knowledge deposits in the organization. Knowledge-sharing organizational can make knowledge flow at all levels freely, access to cost saving under the conditions of constant application and innovation, bringing more benefits for enterprises.Contrary to the wishes of businesses, employees do not want to share their knowledge with others. Awareness of knowledge sharing has become an obstacle to conflict with the shackles of corporate progress. Resolve the contradictions of knowledge management has become the business and academic attention. In the new century, considerable progress has been made in the research and practice of knowledge management in China. However, as the beginning of knowledge management, knowledge sharing has not become spontaneous behaviors of employees yet,so reasonable knowledge sharing incentive and restraint mechanisms should be designed to accelerate spontaneous behaviors of employees so that it can improve the ability of innovation and competitiveness. So, research on knowledge-sharing incentive and restraint mechanisms is not only of special significance, but also has practical values.This article first theoretical study of tacit knowledge, we explore the tacit knowledge of the meaning and significance of knowledge sharing and introduce knowledge into Douglas production function, proposed the concept of the knowledge production function; Secondly, the use of comprehensive literature analysis, system analysis, theoretical model of integration and creating and so on, to share productivity gains and business knowledge are two common incentive contract linked to the establishment of a theoretical model of the corresponding agent to discuss the different distribution model for enterprise knowledge workers to the extent of knowledge sharing. Combined with the actual situation of the enterprise, the risk theory, equity theory and two-factor theory into the game model to study how to establish effective knowledge sharing within the enterprise system; third, according to the conclusions countermeasures R & D team for the effective design of incentive used to stimulate employees to provide new knowledge-sharing ideas, and future research directions.
