There were six times upsurges of merges & acquisitions in American history. The latest one began on the 2003 and it continue to now. In European the actions of merges & acquisitions are stirring also. Soon this upsurge spread to China with the economic globalization. Now Chinese enterprises have started at acquiring and merging foreign companies after it be merged and acquired. We can say that merges & acquisitions have become a normal way or method for enterprises to get high speed development and expand.In academe, the researches are very active to the merges & acquisitions. However they lay particular stress on the reasons and the strategies of the M & A. It just likes the states by Alexandra Reed Lajoux in her book《The Arts of M&A Integration》:In about 500 books which have published concerning M&A.The books discussed integration after M&A were less than 12.And all of this books focused on discussed on human resource integration. No one book discussed other factors of integration and give out a real useful guide.In this thesis, the background, the objectives, and the reasons of the research and the creating points are expatiated in the first chapter. Then the author introduced the basic theory and their development of the merges & acquisitions in second chapter. In third chapter thesis described the reasons, the strategies, and the action plans of the merges & acquisitions by analyzing the case of the AA MNC. In past fifteen years AA MNC merged and acquired more than eighty companies in hardware industry on globe. Its annual sales increased from three hundred millions to three and half billions Euro. Moreover in twelve years in China its sales boosted from five hundred millions to three point six billions CNY. Its reasons are from efficiency theory and marketing force theory. Its strategy is to be a leader of industry. In the method side it used to use a kind of"snatch at a snake"except normal transverse merges & acquisitions, vertical merges & acquisitions. It also used some"poison"and"bait"such as"pricing to patent and trade brand". All of these are value for researching. In the fourth chapter the author gaven out the evaluation on the cases from the finance integration, The culture integration, The human resource integration and the sustainability. In the fifth chapter the main results by summarized as below:1.For the cross-border merges & acquisitions it is necessary that getting more details information. To set a test base for training persons with ability; exploring the suitable model of management and forming an integration plan is a best option.2.The strategy"snatch at a snake"is a kind of economical and effectual strategy.3.For the cross-border merges & acquisitions; Finance integration must be peremptory. Sustainability is a guarantee for the success .Culture integration is their soul. And the human resouring integration is a key for a successful M&A.These four factors form the pillars of a successful cross-border merges & acquisitions.
