Review the course of more than 20 years of state-owned enterprise reform, from granting power and allowing keep a bigger share of profits to the contract system, from distinct property right to improving company's administration structure, setting up modern enterprise system, the reform has been carried on around improving enterprise's benefit all the time. The state-owned enterprise drives the restraint mechanism is mechanism that governs the structure in the state-owned enterprise useful affects to the trustee and the agent two motive and the behavior, guarantees agent's behavior goal maintains consistently with the trustee, causes trustee's proxy cost and the inspector general cost smallest. Its essence is optimization grouping of the property right of different nature among different main parts of property right of state-owned enterprise. The main reason of low benefit of state-owned enterprise is that it lack effective operator encourage tied mechanism to lie in. The SOE reform of our country is pushing into the goal of the modern enterprise system, it is key questions of the SOE reform to set up encouragement effectual to executives and tied mechanism from material to spirit, it is also the key problem in this text. This text has carried on systematic research of deepening on the issue that how to structure the encouragement tied mechanism of the operator of state-owned enterprise on the basis of analyzing.
