Acquisitions as an inevitable product as market economy develops to a certain stage, which is a kind of economic behavior transfers the ownership of assets or property between corporate. Corporate acquisition activity began from the 19th century's ends. So far, the Western countries had already experienced five acquisitions tides caused the very big fluctuation in the world scope.With the influence of economic globalization, the gradual development of China's socialist market economy, the acquisition already no longer was only the West capitalist country patent, Chinese enterprises are also starting to carry out acquisitions, and slowly take it as one kind of way for enterprises to growth and expansion, a means of capital operation.This article mainly carried out feasibility study analysis and evaluation on the acquisition project about Chengdu, Sichuan, Marketing enterprise, PetroChina Co., Ltd acquired Duobao gas station which belongs to Xichuan, Chengdu Petrochemical Co., Ltd. Firstly, elaborated the acquisition and feasibility studies and other related theories, and then introduced the related situation about both companies involved the acquisition and analyzed the motives of the acquisition, and then analyzed the subject matter of the acquisition from the market situation and legal risk, secondly, evaluated the Duobao gas station from engineering,safety and environment in accordance with the standard of engineering evaluation of the oil industry, and then conducted the feasibility analysis and evaluation of the project from the investment estimates, financial analysis and other aspects, finally came to the conclusion that the acquisition is practical, simultaneously put forward the related proposal to this project. During the thesis writing process, comprehensively used project management, management, marketing, accounting, financial analysis and many other disciplines of knowledge, used the method combining the qualitative and quantitative to carry out the feasibility analysis and research of the acquisition project.
