Listed Companies Intellectual Property Information Disclosure System

In 2010, some GEM listed companies in China had to suspend their listing due to false or improper disclosure of intellectual property,which caused a significant impact and losses on some investors. Therefore, for a company which will go public and a listed company, disclosure of intellectual property information has been an essential issue of healthy development of China's stock market.On the basis of "patent door" incident, the paper fully analyzes the information disclosure system of intellectual property in Chinese listed companies. Since China Securities Regulatory Commission and other State departments have not yet constituted and issued a law specifically to regulate the information disclosure of intellectual property for listed companies; moreover in practice, information disclosure system of intellectual property for listed companies is still not perfect. Therefore, such research on the development of China's securities market has important theoretical and practical significance.In order to make a full sutdy on the above issues, the paper will cover the following chapters:Introduction: the ouset, stressed that complete information disclosure system of intellectual property is the important condition to the regular development of China securities market. However, some companies recently failed to go public or received some punishments due to false disclosure of intellectual property. Futher elaborated on the subject by the backgorund, "the patent door" review, research significance and methodology.Chapter one is the analysis on status quo and existing problems of information disclosure of intellectual property for Chinese listed companies. First of all, it makes analysis of relevant theory on information disclosure of intellectual property, then thoroughly analyzes the reasons for the current situation based on the relevant regulations on information disclosure of intellectual property.Chapter two is the study on foreign information disclosure of intellectual property, mainly focusing on the United States and Japan's information disclosure system to analyze; and we can learn some useful experience on information disclosure system from foreign listed companies.Chapter three is the strategic study on improvement of intellectual property information disclosure for Chinese listed companies, providing some useful suggestions to solve the above problems.Conclusion: If we intend to achieve a healthy and orderly development of the securities market, complete legislation on information disclosure of intellectual property, authenticity guarantee of information disclosure of intellectual property, incerasing regulatory efforts will be the key factors to realize it.Research method mainly uses literature research methods, standardized methods and empirical case studies method.
