The focus on the incentive scheme to tourism manager is lasting for a long time from the reform. And now the problem of state - owned tourism companies lies in not only the irrational practice of consumption but also the mismatch between the managerial contribution and their rewards. In the view of practice as the marketing power was transferred to a lower level, the managerial incentive problem is more and more important. The first aim at the enterprise抯 development. The second is that the incentive scheme will be realized in future. So the managerial actions that damaged the profits of the tourism companies for pursuing the maximum personal benefit must be avoided.The thesis is divided into four parts. At first, it outlines the managerial action character of the tourism companies, and points out that one reason lies in the imperfection of the firm system, the other is that the residual claim does not match the control rights inside the companies. On the basis of it, the incentive scheme is designed in the next part. It抯 the organic synthesis of the yearly salary and the executive stock option. Besides this, it demands the managers to come onto the market. In the forth part of the thesis, inside and outside constraints of the companies are pointed out. It is necessary to standardize the corporate governance and to perfect the rules of the market competition. At last, the thesis makes a positive analysis of 25 tourism public companies and sets up a material model.
