State-owned Enterprise (SOE) is an important part of our socialist economy and have an important role in our social economy. But in recent years, the work of SOE is not as good as people expect. Why? Besides the reasons of formal institution, the informal institution plays an important role which can not be neglected. So it is necessary to research the working ways of the informal institution during the reformation and development of SOE. Based on these and starting from the general theory of informal institution, this paper analyses and elaborates the reasons that the informal institution works in the reformation of SOE. The paper also analyses the problem how the SOE would develop.This paper consists of four chapters. Chapter one the general theory of informal institution. This is the theoretical base of the paper, hi this chapter. We analyse the economic character and economic value of informal institution. At the same time, we also give an experimental research on the behavior under the restricting from the informal institution using the tool of Cost-revenue. Under those, we have the theoretical system of informal institution Besides this, we look back on the work of the formers. Chapter two: the research of informal institution in the reformation of SOE. Here, we emphasise on the reasons caused by the informal institution that makes the reformation of SOE begin and deepen. We think that the informal institution reasons which cause the reformation of SOE to begin and deepen lie in the dilemma of tranditional SOE and a series of ethical conflict. We analyse the procedure of the SOE reformation and enterprise system. Chapter three: the studying of imformal institution during the development of SOE. In this chapter, we elaborate the deadline the criterion and the power during the period of the SOE development. The thesis seeks ways to construct the system of the informal institution for the development of SOE. Chapter four: conclusion. The chapter is a theoretical conclusion from the analysis of the fore-chapters.
