Since the reform and open, private enterprises that have gone through a long way from smaller to bigger and from weakness to strength have made considerable progress and great contributions to the development of socialistic economy. Most private enterprises adopt the family administration mode, which played a positive role in their initial development period. In the process of initial development, private enterprises have indeed demonstrated their high flexibility and competitive strength. Furthermore, they creat high operation efficiency and economic profits. With China's entering WTO, macro-economy circumstances of our country has greatly changed. Private enterprises are faced with an unprecedented opportunity. However, with the private enterprises continuously increasing, the innate defects of private-owned enterprises in corporation governance and organization structure are beginning to be exposed. These defects have fetterd their development seriously and even make the enterprises fall into dire straits.Most of private enterprises have made a variety of useful explorations in corporation governance and organization structure. On the basis of the analysis of the present management situation and the hidden reasons for fettering the development of XINXING ECONOMY INDUSTRY CO. LTD., in this article the writer put forward several countermeasures, which, I hope, will be used as some proposals for private enterprises to transform to modern enterprises system through the analysis of XINXING ECONOMY INDUSTRY CO. LTD..This article is divided into three chapters.In the first chapter, the writer introduces the development of XINXING ECONOMY INDUSTRY CO. LTD., and recalls the two developing phases of the corporation before and after of 1997. And the writer describes the present management situation and dire straits of the enterprises, and explains that inproper corporation governance andorganization structure are essential reasons for those situation, which has result from inside and outside factors, and points out the urgency for reforming of the corporation system and transforming of the organization.In the second chapter, the writer analyses the present situation of the corporation governance, and offers a series of measures according to the relative theory, such as reforming of the directorate and limiting the rights of major shareholders, and so on. In the third chapter, the writer analyses the organization structure. It offers the projects about the corporation organization system, and puts forward seting up the supervisor net of focusing on finace, seting up the system of franchiser credit appraising, seting up the system of the unifying purchase of raw material, and so on. And I think such series of countermeatures will make the organization become a highly efficient.The end, the author offers that the effective ways of the developing of private enterprises are to improve organization and set up the modern enterprises system. Finally, as for the problems with the system of private enterprises, the writer gives some constructive advice.
