The reform of the state-owned enterprises of our country that began from 1978 went through more than 20 years, and was centering continuously on the separation of the power of management and the proprietary rights. And the key of the separation of the power of management and the proprietary rights depends on the effectiveness of the corporate governance. At present, the reform of state-owned enterprises only improves the control and the encouragement on state-owned enterprises, and makes state-owned enterprises become the corporate governance that the administration is intervened down. This is the typical reformation logic that the ownership is the most supreme. And it leads that the shareholder's interests are most lofty, and the stakeholders' interests are ignored except shareholders'. At present, some state-owned enterprises have paid attention on the importance of the guarantee of the employees' interests, and also have tried some ways. But the academic circles and enterprise circles of our country haven't paid more attention on the realization mechanism of the employee's interests in the course of the reform of state-owned enterprises. And the focal point discussed on the reform of state-owned enterprises is often concentrated on how to solve the problem about the internal control. The orientation overemphasizing the high layer managers' effect and ignoring the employees' interests are biased.This paper analyzes the importance and the realization mechanism of the employees' interests in state-owned enterprises by using a series of theories such as stakeholder theory, human capita theory, core competence theory, incentive theory and leadership theory, and puts forward the hypothesis about the interrelation between the realization mechanism and the employees' interests, and verifies the correction of the hypothesis by way of the questionnaire investigation and the empirical analysis about the state-owned enterprises' reform practice. The methods of the empirical analysis are primary factor analysis, one-way ANOVA analysis, partial correlations analysis and linear regression analysis.First, this paper analyzes which interests the employees have actually, and thedifferences of the interests that the employees have in different characteristic state-owned enterprises and the different characteristic employees have, so that puts forward the realization measures of employees' interests in accordance with them.Next, this paper analyzes the kinds of the realization methods of the employees' interests, defines the active realization methods of the employees' interests by way of the partial correlations analysis between the employees' interests and their realization methods, also analyzes the differences of the realization methods in accordance with the difference characteristic state-owned enterprises and difference characteristic employees.According to the above analysis, this paper analyzes respectively the causality between the employees' interests and the corporation performance, and the effects of the employees' interests on the corporation performance in use of the linear regression, and finds the employees' interests and the realization methods that have the notable effect on the corporation performance.Finally, based on the empirical analysis conclusion, this paper puts forward the design principles and the basic framework of the realization mechanism of the employees' interests in course of the state-owned enterprises reform, and offers some suggestions in the belonging to it.
