The enterprise group's creation and development is correlative with merge & acquisition. Lacking of demonstration of M&A invest, many enterprise groups carry on M&A blindly which are irrespective with their core industry, at last the enterprise groups are taken to the puzzle dom. Because of the importance of the enterprise groups in our M&A market, summarizing the experience of M&A success and failure, managing M&A risk effectively and advancing the M&A successful rate play the crucial role in the enterprise groups' rapid development.Base on these, this thesis firstly analyzes the definition and produce motivation of enterprise group and merge and acquisition. Secondly, by the factors analysis influencing M&A success and failure, combining two characteristics in our M&A market, the thesis expatiates on kinds of risk in M&A process three phases that the M&A process contains preparing period negotiating period and conformity period. Finally, the thesis puts forward some methods and propositions in order to distinguish and avoid risk in different M&A phases. The risk in former two phases is managed by investigating target enterprise's detailed accounting and contracts. In conformity risk management, the thesis proposes that using fuzzy integration evaluate method can measure the M&A conformity risk accurately. Any how, this essay is sure to help the enterprise M&A decision-makers recognize and manage risks some few.
