Research On The Risk Management In Merger Of Tian Rui Group

The risk management problem of our country's enterprise have got the society extensive solicitude, the risk management of the enterprise merger also becomes one of the main contents of the risk management. Because the merger risk management of our country's enterprise don't have a unified and suitable mode, therefore how to proceed the management of science to evade the risk of the merger, have become an important lesson in many enterprise. After China's entrance into the WTO, the competitions become more and more fierce. For betterly compete in market, Tian Rui group will enhance it's competition ability through a large scale merger. Therefore, how to enhance the ability of the merger risk management, has become a serious problem during the development of Tian Rui group.This paper reviewed the global conditions of the merger risk management, briefly introduced the relatively thesis, the construction of Tian Rui group, the condition of merger development, the existing problems and ect, and then author quantificationally analysis the merger risk of Tian Rui group by Econometrics. The author deems that there are three main problems in the process of merger of Tian Rui group: first, it's merger strategy is not clear; second, it's merger behavior is not suitable; third, it's merger integration is not perfect. Then the author made a detailed analysis to the merger risk of Tian Rui group, summed up the main risk actors and the reasons. The main risk actors contain macro-politics, law, information, strategy, finance, asset evaluation, market, human resource and etc. The reason is that Tian Rui group always pay little attention on the risk management during the merger processes. Then the author made up a set of index for evaluate and precaution the merger risk. It contains the synthetic ability index of enterprise and the merger riskindex of enterprise. Finally, the author designed the management measure and give out the implement suggestion.This paper use classification and quantificationally method on this lesson. The method of this paper has certain general character, as the enterprise of other profession also has to refer to meaning.
