Along with the continuous development of information technology especially the network technique, the upsurge of internet makes the human society entering a new age. Deal to the unlimited features of time and place, one kind of trade which is completely different from the traditional one arises, which is by the way of internet. In the next following years, internet will become the largest trade market site in the world, as well as offers tremendous opportunities of business. With the development of E-commerce, some new legal problems appear, such as how to confirm the party of E-commerce;the law position of E-commerce center;the reliability of electronic awareness;how to treat the legal form of electronic contract;the establishment , signature and qualification of electronic contract;the legal identification of electronic payment, etc. The solution to these problems concerns the development of on-line business directly. However on account of the lagging of the law itself, the traditional law has not carried on supplement and revising to this new type of business, which causes a lot of legal obstacle. That will not be good to the rapid development of the operations. So exploring the analysis and the study on legal obstacle, setting up the flexible legal frame , enlarging the protection of law, strengthening the self-control of enterprises, which will be beneficial to all the parties in E-commerce. Meanwhile it will promote the development of E-commerce in a smooth and healthy way in China. The essay will offer a discussion on relevant problems.
