Company manager system in modern company corporate governance structure has an important position, and the manager power is the core issue of the legal system of manager. With the scale of development, the giant separation of ownership and control, professional managers in corporate governance structure plays an increasingly important role, and manager problem such as power of the dictatorship of the manager, agent risk and insider control is getting worse. How to regulate company manager power effectively from the aspect of corporate law even civil and commercial law, is the realistic problems must be responded. Abroad, continental law system country pay much attention to manager power system, relevant legislation of manager power is very active, with the double adjusted pattern:legislation of civil code and specialized company laws. In Anglo-American law system country, the common law and case-law all contain rich manager power rules. In our civil law, no manager system, the regulation about the manager power prescribed company law is too coarse, the company law do lists about the manager authorities, but have no corresponding provisions about the way using the power in practice urgently needs to solve, don't form system about the manager power and can't regulate it effectively. This paper aims to further expurgation manager status in the corporate governance structure, the general rules of manager power structure and operation, in order to perfect manager system of legislation. Introduction section introduces the important position of the manager power system in the corporate governance structure, and the origin of the manager problem, theoretical and practical significance about manager power research.The first chapter basically inspects the manager concept and foreign manager system to do a clearance about manager status.The second chapter examines the general theory about the manager power, including the ways of the power granted, exercised and relief.The third chapter examines the power of manager, including macro power and specific powers, and different ways to limit manager power in two law system.In the fourth chapter, pointed out the problems, and puts forward his own revision opinion after the law changes in manager system in 2005.
