The Private College functions as an important part of education. In the development process of it, there is unsound management structure, unclear property rights and lack of incentive mechanism and many other issues. This paper attempts to construct the ideal stakeholders governance based on the theory of the corporation governance to resolve common problems in the governance of Private Colleges.In the first part, this paper describes the significance of the study of the governance of private universities, the ways of studying it, difficulties and benefits of creativity, and that the governance itself embodies the common good of all stakeholders and is a mode of corporate governance. This approach to governance includes two levels: structure and mechanism of management. What's more, the role of the government in private universities should not been weakened blindly. Instead, the control of government should be born within the university governance to maintain social welfare of Private Colleges. Similarly, for the long-term development of private universities, representatives of teachers and students should also be included to take control of the governance.The second part focuses on the theoretical issue of the great similarity between organizations and private universities, which run with the introduction of market mechanisms as the management and operation of enterprises. And their consistency with each other. Therefore, we could naturally apply to the field of Private Education the organizational theory, the theory of property rights and commissionedagent theory that are closely related to corporation governance to form a system of coordination between the owner and other relevant stakeholders of Private Colleges to reduce transaction cost and to achieve the optimum allocation of education resources. However, the public education requirements of private university do not allow it to take the investors with the largest wealth or to maximize the wealth of material value as a goal. And the operation of it to some extent abides by the rules of the market and of value, in addition, the law of education should also be followed, so the theory of corporate governance can only been absorbed differentially. The third part includes Chapter HI and IV which covers the analysis of the current situation of governance model in our private universities and foreign universities. Through the analysis of the domestic university's management structure, we sum up the problems in the establishment of private universities in our country and inspirations helpful to our Private Colleges governance obtained from model management structure of foreign universities.Based on the above analysis, the final part focuses on problems existing in the management practice of domestic Private Colleges and learns from construction issues of Foreign Colleges for the construction of the stakeholders governance in our Private Colleges.
