Recently professor's academic governance, as an internal management mode for academics having the decision-making power in academic fields, has drawn the attention of experts and society. The thesis shows that the Professor-ruled University in overseas university is synonymous with professor's academic governance in domestic university by contrasting the authority of professor in history and status. The thesis explores the connotation of professor's academic governance and the necessity of carrying out professor's academic governance. Though the professor's academic governance has already done some effect in university government, it still has some problems. The reasons for the existing problems in professor's academic governance of domestic university, such as the executive power leading a dominant position, the imbalance of the professor's position in different universities, the unhealthy tendencies in academic culture and the imperfect management system, was analyzed from both internally and externally of the university. Finally, the countermeasures and proposals which will help solving the problems in professor's academic governance of domestic universities were proposed in the theory and practice, and the practice proposals were given from three aspects of state, university and professor.
