Since the reform and opening of China, the state-owned enterprise reform has been the focus in economic restructuring. With the deepening of economic reform in China, more and more state-owned enterprises began to face intense competitive pressure. On the one hand, they have lost their original vantage of capital, resources and market dominance. On the other hand, they are facing that the enterprise system is backward and the plight of mechanism is not active. How the traditional state-owned enterprises to break through this situation? We must constantly take the road of business administration reform.The organizational type with the enterprise evolution can be divided into two major categories of, production organization and marketing organization. Why the production organizations exist? The premise and condition is the a shortage of supply in market, the company's core mission is to increase production to satisfy the market needs. But with the market oversupply, companies need to improve marketing efficiency to enhance market competitiveness. So business organization started gradually to the marketing organization.About a hundred years of marketing concept development process, five different stages of development appear:the producing-oriented concepts, production-oriented concepts, sales-oriented concepts, marketing-oriented concepts, social marketing-oriented concept. Compatible with the marketing concept there are five different stages of organization:separate sales department, sales of both the subsidiary function of marketing department, an independent marketing department, modern marketing part, modern marketing business. Marketing organization is the basis of marketing management, and marketing changes are the main line of business management of change, under the market economy.In this article, we begin with the reality of H Company, analyze the status of company's existing marketing organization & problems and causes, analyze the H company facing the market environment, competitors'environment and enterprise development vision. And we make together with the marketing-related theoretical knowledge and company reality, we proposed H optimal design of market & sale organizations, objectives, principles, framework and associated security measures using the method of dialectical materialism and historical pragmatic approach, so as to finding a solution to change enterprise marketing. Therefore, the article will make some significance for many enterprises which are being sought in establishing the modern market & sale organization from production to achieve the transition to a market-based.
