Collective enterprises as an important component of public-owned economy have many problems such as collective unclear property rights, inadequate corporate governance, unreasonable stock share distribution on condition of Chinese market economy. These problems had seriously hampered the effective operation and healthy development of the enterprise. So reforming enterprises of collective ownership is imperative.However, compared with state-owned enterprises, collectively owned enterprises have more complex deficiencies in the relationship between ownership and management system, and are lack of Integrated reforming theory and evidence in the current, which make reforming tend to harder.In this paper, restructuring ZW Machinery Company was taken as research object, the related theory about enterprise reforming was led by, combining methods with logical analysis, theoretical analysis and empirical research was adopted. Through analyzing difficult issues and the effect of restructuring in the background and focusing on before and after the two restructuring of ZW machinery factory, the practical experiences in the distribution of property rights, to quantizing net assets, arranging for staff, ownership diversification, "Three Systems" reforms and establishing corporate governance structure was summarized, and countermeasures and suggestions in further establishing ESOP with Chinese characteristics, a sound generating mechanism of the operators, improving the distribution system was put forward.
