Resourcebased cities have been making a significant contribution to China's economics during the course of China's economic development. So it does to regional economics and social development. However, exploitation of natural resources is sure to go through a particular procedure: phase of exploitation, growth, maturity and declination. Therefore, the problem will also exist as well in the respect of resourcebased cities, which is like,period of rising, prosperity and declination . Currently most of these cities are in the late period of resource depletion, due to which, economic recession, social conflicts and other issues rose. As one of 118 typical resource-based cities , Puyang is certainly with no exception. After years of high-intensity exploitation , Puyang City, with depletion of resources, mining costs is highly increasing, which severely weakened the competitiveness of the city. Meanwhile, the longstanding "high input, low efficiency, high pollution" mode of production, leads to depletion of resources. Meanwhile, ecology and environment of Puyang, have been severely disturbed. And this results in lots of issues, such as a single industrial structure, increasing laidoff workers, urban poor competitiveness, wihch seriously hampered the development of Puyang. In the meantime, the northeast region of Puyang, He'nan Province, as the economic and political center, its economic development has a significant impact on the economics of the surroundings. So how to avoid mine exhausting in Puyang, to achieve a positive transformation of the city properly and orderly, are the major issues.This article is divided into six chapters. The first chapter is an introduction of the background, purpose, methods, focus and innovation of the research. Chapter II is the basic theory of the thesis, introducing the definition of resource, resource-based cities and transformation of resource-based cities, which is the theoretical basis and premise of the thesis. The third chapter describes the history of Domestic and international resource-based cities. According to the time line, the development process of these cities are analyzed and given examples,form which some inspirations can be got for the transformation of resource-exhausted cities in china. The fourth chapter briefly describes Puyang city, meanly about the basic status, reserves, mining history and the contribution to the country. A SWOT analysis is made about the opportunities, challenges, strength and weakness in transformation of puyang. In Chapter V, a response will be made involving three aspects: economic transformation, social transformation and mechanism protection, which consistent with the actual situation of Puyang.
