Non-profit Corporate Law Regulation In China

Since1960s, as the sector outside of government and market, non-profit organizations playsan increasingly prominent role in public welfare, health care, education and other social fields.Non-profit organizations in China play an increasingly important role in helping vulnerablegroups after the reform and opening. It is significance to raise people’s living level and buildingharmonious society.The non-profit corporation is most influential part and people most familiar with, havingcomparative perfect legal system which still in the initial stage. The reason includes lowlegislative level, scarce participant, rudimentary internal governance structure and system ofregulation, what restrict the development of non-profit corporation in China seriously. So it isnecessary to study the legal regulation of non-profit corporation.This paper has studied for the regulation of the non-profit corporation law in jurisprudence.First, this article analyzes for the basic theory of non-profit corporation which includesnon-profit organizations and non-profit legal entity concept. Second, it study the specific system,including the form of non-profit corporation and the internal governance structure (authority,implementing agencies and internal oversight bodies) and external oversight system (governmentoversight and judicial review) were analyzed. Then it pointed out the malady of non-profit legalregulation system, defects of the internal governance structure. At last, this paper put forwardspecific suggestions for improvement according to the reality of our country and experience offoreign countries, such as making internal governance structure of non-profit corporation morereasonable, getting rid of the stigma of the planned economy, preserving justice in accordancewith the principles of moderate review censorship.
