There are many small and medium size logistics enterprises in our country. They are accounting about95%of all the logistics enterprises. The small and medium size logistics enterprises are advanced in absorbing employment, developing the production and increasing the tax. But they also have some weakness because of it little size. It is lack of information and management and also has a very high cost. Those all make them developing slowly.This paper uses the theory of principle-agent to analysis the incentive of the small and medium size logistics enterprises and gives some suggestions to deal with the problems. The research contact as follows:1The incentive of staff in small and medium size logistics enterprisesThis part uses the theory of mult-task principle-agent to analysis the incentive of staff in branch company and transit warehouse. The source and protection for the goods is different between the branch company and transit warehouse. So they have different incentive step. The branch company has infinity goods because it faces the whole city and it also have to protect the goods instead of being lost. But the transit warehouse has limited goods because it faces only the branch company. It also need not responsible for the destroy of the goods. By the character above, we use the theory of mult-task principle-agent to analysis it and get some useful conclusion.2The incentive of the manager in small and medium logistics enterprisesThis part we use the ratchet effects and the property right arrangement of principel-agent to analysis it.Because of the specific condition of the different cities, so we can say the branch company of each city has different intrinsic productivity. In sharecropping contract, how to determine the proportion of the company and the manager is very important. So we need to design a contract to deal with it. We use the ratchet effects to do it.The asset is very important to improve the productivity for the logistics company. But who buy the asset is a problem for the company. If the company buys the asset, the manager may be excessive used the asset. If the manager buys the asset, the manager must face much uncertainty in future. So the manager doesn’t have the enthusiasm to buy the asset. We will use the property right arrangement to analysis this problem.
