With the deepening of the reform and opening-up policy and the restructure of state-owned enterprises, the management system of modern enterprise has been established, while the corporate governance structure has been being improved gradually. Although the power of operation and the ownership have been separated, the motivation and regulation toward human capital owners as well as capital owners is still the weakest link of the corporate governance structure. Compared to the enterprises with other systems, state-owned enterprises use more various motivation methods, while getting lower efficiency and worse result. Among all the capitals, human capital has a direct effect on the efficiency of others. Low efficiency of human capital will result in that other capitals cannot create more values. State-owned enterprises still predominate in the economy of our country. It is meaningful and important to enhance the effectiveness of its incentive system for strengthening the marketing competitive advantages and promoting the development of the whole economy. By the case analysis and study of Z Company, this thesis is going to explore different kinds of effective motivation strategies and methods that are appropriate for the strategic development of state-owned listed enterprises.The theoretical basis of this thesis is the motivation y in the management of human resources, and the main methods are literature index and case study. Its analysis and discussion are based on the theories of domestic and external experts about stimulation and that of state-owned enterprises, combining the practice of Z Corporation, a stated-owned listed enterprise.First of all, this thesis describes its operating background, enterprise strategies, the present situation of human resources, payment system, check-up system and other related information, as well as analyzing the interrelated problems that exist in the operating and managing process. Retrospection to the motivation theory and the present literature summary about staff-motivation of stated-owned listed enterprises, the article summarizes and reflects the policies and measures that the company takes to encourage the staff. Also, it puts forward the reconfiguration of incentive system and the prioritization scheme, setting an effective one with multiplied gradations and structures from the high-rise to the low-rise, from the material to the nonmaterial, from the short-term to the middle-and-long-term.Human resources are the strategic resources in the modern enterprise, and motivation is an important part in the management of human resources. In order to motivate the core competitive force in the fierce marketing rivalry, enterprises should optimize the payment system, the check-up system, the staff-rewards-and-penalties system and other related systems, enhance the activeness and motility of the staff.
