Private enterprise is an important force in the cause of socialism with Chinese characteristics. Private enterprises play an increasingly important role in the contribution of the development of China’s economy, fiscal taxes, increasing employment and social responsibility, which point to the subject of significance. However, due to some reasons, in recent years, the flow rate of knowledge workers in private enterprises is much higher than normal level of staff turnover, which seriously affects the development of private economy in China.In the first chapter, through research methods, the background and significance of this study, the status of the domestic and international research in detail, consolidating the achievements of the past scholars incentives, at the same time, the author puts forward the research content, method and innovation and defines some related concepts.Chapter Ⅱ elaborates the differences between U.S. and European companies in China and Chinese private enterprises on the knowledge-based employee incentives, giving the new subject on the basis of the comparison this simple theoretical perspective.And in the third chapter, the paper refines the main components of a knowledge-based staff incentives, basing on which is subdivided into15specific incentives of motivating factor and designs this questionnaire sorting the data according the use of the SPSS data processing tools. Concluding data from repeated comparison of different variables which is used for demonstrated the research prior to. And the writer puts forward some new findings.The fourth chapter of this paper using four-dimensional model of Hofstede power distance, individualism and collectivism, the culture of "masculinity" and "femininity" cultural uncertainty avoidance. The paper analyses the differences of knowledge workers incentives between Europe and the United States enterprises and private enterprises in China from the perspective of cross-cultural analysis in China,, which is the attempt of a new perspective. Chapter V is the concluding part of the full text, the author make some suggestions for private enterprises on the issues of the pay incentives, incentives for personal growth and sense of personal achievement, team relationships, motivational factors, motivational factors of work environment. And in the end, the writer represents the limitations of the article and the future outlook.
