The process of merger often suffer from all kinds of hardships, the final result is not perfect, there are a handful of enterprise merger and acquisition is successful,70%of companies end up with dismal, M&A failed by many factors. However, some enterprises of their own potential absorptive capacity and realized absorptive capacity can not be made full use and tend to failure. Therefore, based on the enterprise potential and realized absorptive capacity of the merger and acquisition is a realistic problem, this research is very meaningful.At present, Academic circles studies motives of mergers and acquisitions, M&A impact factor, the concept of mergers and acquisitions and its effects. Few scholars based on absorptive capacity of double perspective on enterprise merge and acquisition,in this article based on the unique perspective of potential absorptive capacity and practical ability analyzes enterprise absorptive capacity influence factors and two kinds of absorptive capacity on the impact of mergers and acquisitions degree.Finally, given the constructive comments from the point of view to promote the success of mergers and acquisitions and strengthen the absorptive capacity of local Chinese companies implementation.This article conducted an investigation mainly aims at the168domestic enterprises, which have merger experience. Use SPSS18.0data collected from the correlation analysis, factor analysis and regression analysis. This article analyzes the factors affecting organizational absorptive capacity of research and absorptive capacity, analyzes the factors affecting absorptive capacity of research and absorptive capacity, Further study the impact of different factors on the potential absorptive capacity and absorptive capacity. Finally, we verify absorptive capacity of potential and the reality effects on mergers and acquisitions.
