With the continuous development of market-led economy and the deepening reform of economic system, most of the state-owned enterprise have some problems, for example:the property right is not clear, authority, duty and benefit belong to whom is unknown, management of the enterprise is not scientific, etc. These problems are restrictions to the further development of the state-owned enterprises. In order to solve these problems, our country has taken many measures to reform the ownership of state-owned enterprise. After decades of state-owned enterprise reformation, the outcome is good. But some problems still exist. In order to make the core business more strong and develop the secondary part, the enterprise took the practice of "separate secondary lines of business from core". How to deal with risks and develop itself is the key to the subsidiary.The paper adopts the way of a combination of normative research and case study, We did a deep study on one subsidiary of L steel group company in risk management. Through ways of investigation, normative analysis, literature research, case study and other methods, we explained risks about the subsidiary which is a real independent economic entity mainly in the aspects of management, assets and financial management, human resources management, etc. We found that many risks are included, such as risks from three "boards", equity risk, management agent risk, related transaction risk, management risk about asset, investment risk, risk of cost management, risks coming from borrowing money and risks in management of human resources. Then we put forward the concrete measures that can be taken. Although this article has many deficiencies, but the object of study plays an important role in in the market, its situation is focused by many persons. We hope the problems we have analysed can make the subsidiary pay more attention to risk management in order to reduce the risks or reduce the loss from risks, promoting the subsidiary of L steel group company to achieve healthy development. It would also be a point for reference for the ownership reform in other state-owned enterprises.
