The shipbuilding industry in China gained a developmental momentum under the effectof national marine strategy in these years. In the year2010, thanks to domestic ship buildingindustry, China has become the top1nation in terms of ship building in the world. Beingexporting-oriented, state-owned shipping companies took the advantage of internationaldevelopment ahead of the other industries, and eventually gives it a must need to build themodern institutional system. Different from other types of enterprises, shipping enterprises,have the characteristic of high risk, extensive and complex legal matters involved.Establishing the general counsel system is favorable for the shipbuilding companies to lowerlaw risk, improve management, fulfill the feasibility of decision-making and protectcompany’s interest and right. State-owned shipping companies have established the generalcounsel system to serve business and management by affected of government policy andmarket regulation. However, lack of law risk awareness and law system, as well asinsufficient use of general counsel give rise to a series of problems on allegation andarbitration of state-owned companies. It is necessary to strengthen management and solve allthe problems in terms of legislation, regulation and talent cultivation.Based on the basic theory of general counsel system, the paper analyzes the problems,such as insufficient legislation, employment and deployment of current general counselsystem development of state-owned shipping enterprises, and proposes improving solutions.The paper focuses on the historical development and advanced experience of general counselsystem in the large companies of the US and EU countries, so as to make the state-ownedshipping enterprises to pay attention to the system building of general counsel. Solutionsproposed in the paper including human resources quality improvement, enhancement ofinformation access, function working, etc.
