With a forceful development, Cross-border M&A has become the main methodof FDI since1990’s. There will be more and more Chinese enterprises with an eye toCross-border M&A in recent years. Many cases show that the issue of labor law hasbecome a key factor in their process to success. This essay is titled with “ARESEARCH ON THE ISSUES OF LABOR LAW IN THE PROCESS OFCROSS-BORDER M&A”, and researched the issues of labor law in the process ofCross-border M&A from the perspective of labor law.The train of thought of this essay is to find the problem and analyze theproblem and then to solve the problem.The first chapter is an overview of labor law in the process of Cross-borderM&A. This chapter has a demarcation of labor law of the foreign countries andspecified four typical problems, namely the inheriting of the labor contract, laborunion system, Dismissal and salary welfare system.Chapter2is the heart of this essay. Centering on the issues of labor law, thispart related and analyzed the four problems above. Every system is brought out by atypical case, and followed with a case study and legal analyses. The legal analysesconsist of the related law of foreign countries and customary law. To guide theChinese enterprise to attach importance to the labor law host countries and avoid thelosses, the author reaches a conclusion and brought about some advices in everychapter.The author also makes some suggestions from the perspective of enterpriseand the country in the last chapter.
