Study On Corporate Governance Of State-owned Coal Enterprises In Gansu Huating

Corporaet governance of State-owned enterprises is one of the core issues of the reformof State-owned enetrprises. Corporaet structure and governance mechanism of State-ownedenetrprises have improved signiifcantly as the socialist market economy system wasconstantly changed in China. But due to the constraints of institutional mechanisms, corporaetgovernance in State-owned enetrprises is still not complete and needs further study andpractice. There were lots of problems of corporate governance. The coal ifrm of Huatinglocated in economically less-developed province and needed to be resolved. So this article hasimportant theoretical and practical signiifcance.The paper used corporaet governance theory, economics and management theory andmethods to research governance of Huating coal enterprises in Gansu province at home andabroad on the basis of summaries of the current state. Firstly, it laid the theoretical foundationfor follow-up studies over an overview of relevant theories of corporaet governance. Secondly，it analyzed the status of corporaet governance of the State-owned coal enetrprises in Huatingand identiifed problems and causes of corporate governance. Finally, it designed corporaetgovernance policies of the huating coal enetrprises.Gansu Huating Coal Group Co.，Ltd. wasestablished through asset restructuring program. It strived to improve the degree ofconcentration of the coal industry and optimize the adjustment of the industrial structure. Italso set up the company effective system and internal control system, standardized theshareholders’ meeting, the Board, the Board of Supervisors rules of procedure and the rightsand obligations, and established the excellent coal enetrprise culture. Simultaneously, it wouldbecome large-scale modern energy and chemical enterprise group through the cross-industryand cross-regional diversified development.The results of these researches had important guiding values to Huating institutionalmechanism reform of State-owned coal enterprises and improvement of corporate governancestructure. At the same time, it also had a certain experience to the reform and development ofState-owned coal enetrprises in other regions.
