It is becoming a trend of economic globalization for the merger and acquisition of multinational corporate and global company, which is an important form of modern enterprise to gain and expansion of multinational enterprises. The corporation’s merge and acquisition is one of the most important forms of cash-flow. Not only can it enhance the competitiveness of enterprises and improve its product line, but also promote the emerging industries, which did they not involve in the enterprise before. It will resist this risk. As a enterprise’s business expansion strategy for M&A have been proven whether it is horizontal or vertical M&A. We consider and research the current situation and future development trends.It was my pleased have an opportunity to research the M&A and the enterprise performance. George Stigler who won the Nobel economist, one said "a business through mergers and acquisitions to become large-scale enterprises is a prominent phenomenon in modern economic history". Therefore, M&A strategy has become an important competitive way to expand the company’s size and impact.This chapter is written with the SAP acquisition of Sybase, as business management intelligent software leaders and enterprise integration solution provider. So SAP has its own database product support in enterprise management software on the basis of the original, which can interact with Microsoft, IBM and Oracle three software giant chamber of confrontation. This acquisition will help SAP enrich their product line, and compete with Oracle totally.This Paper is based on the acquisition between SAP and Sybase. As the research, I will derive from two aspects, one is motivation of M&A, the others are performance analysis in integration stage. Through the analysis of these two aspects that tried to find the conclusion and Lessons we learn, to put forward the healthy development of the enterprise.
